1 Acceptance of Terms

Welcome to DEXA! These Terms of Service (“Terms”) constitute a legally binding agreement between you and DEXA. By accessing our platform, creating an account, purchasing a course, or using any DEXA service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the DEXA Platform or our Services. Your continued use of the Platform serves as your irrevocable acceptance of this agreement.

2 Definitions

To keep things simple, we use a few specific terms throughout this document. Here is what they mean:

• “DEXA”, “we”, “us”, or “our” refers to the company DEXA, operating out of Owerri, Imo State, Nigeria.
• “Platform” refers to the DEXA website located at https://learnwithdexa.com, as well as any subdomains, associated mobile applications, or proprietary software we provide.
• “Services” refers broadly to all offerings provided by DEXA, including our website, digital skills training, community features, mentorship, certifications, and AI tools.
• “User” or “you” refers to any individual who accesses the Platform, registers an account, or consumes our Services.
• “Account” refers to the secure profile created by a User to access personalized features and Paid Courses on the Platform.
• “Content” refers to text, images, videos, audio, code snippets, documentation, and any other materials available on the Platform.
• “Paid Courses” refers to specialized, premium educational modules and bootcamps that require a fee to access.
• “AI Features” refers to any learning tools, chat interfaces, or automated feedback systems on the Platform powered by artificial intelligence or machine learning models.

3 Eligibility

The DEXA Platform is designed for adult learners seeking to improve their digital skills and careers. To use our Services, you must meet the following eligibility requirements:

• You must be at least 18 years of age. If you are under 18, you may only use the Platform with the direct involvement, supervision, and consent of a parent or legal guardian who agrees to be bound by these Terms.
• You must provide accurate, current, and complete information during the registration process and keep your profile updated.
• You must not be previously banned, suspended, or removed from the DEXA Platform for policy violations.

4 Account Registration & Security

To access our curriculum, you will need to create a student Account. When you do, you are making a commitment to keep it secure.

• Personal Responsibility: You are entirely responsible for all activities that occur under your Account, whether authorized by you or not.
• Keep Passwords Secure: You must protect your login credentials. Use a strong password and do not leave your account logged in on public or shared devices.
• No Account Sharing: Your Account is strictly personal. You may not share your login credentials, sell your account, or allow anyone else to access your Paid Courses.
• One Account Per Person: Users are permitted to maintain only one active DEXA Account. Creating multiple accounts to abuse free trials, circumvent bans, or exploit promotions is strictly prohibited.
• Unauthorized Access: If you suspect that your Account has been compromised, you must notify DEXA immediately at support@learnwithdexa.com.

DEXA reserves the right to suspend or terminate any Account that shows suspicious activity, simultaneous logins from divergent geographic locations, or violates these security rules.

5 Educational Services

DEXA is an EdTech platform committed to equipping users with in-demand digital skills. Our Services include, but are not limited to:

• Interactive online learning modules and video tutorials.
• Specialized Paid Courses such as Virtual Assistance, Cyber Security, Human Resource Management, and Product Management.
• Professional certifications upon course completion.
• Access to a vibrant community of learners and alumni.
• Mentorship opportunities and career development resources.
• AI-powered educational tools designed to accelerate your learning.

6 Payments

While some resources on DEXA may be free, our comprehensive bootcamps and specialized training programs are Paid Courses.

• Pricing: Prices for Paid Courses are clearly displayed on the Platform. We reserve the right to change our prices at any time, but price changes will not affect courses you have already purchased.
• Payment Processing: We do not store your credit or debit card details. All financial transactions are handled securely by trusted, PCI-compliant third-party payment providers (e.g., Paystack, Flutterwave, or Stripe).
• Taxes: Where applicable by law, you are responsible for paying all taxes associated with your purchases. Taxes may be added to your final checkout price depending on your billing location.
• Failed Payments & Chargebacks: If a payment fails, your access to the Paid Course will be suspended until the balance is settled. Initiating a fraudulent chargeback with your bank will result in an immediate, permanent ban from the DEXA Platform.

7 Course Access & Certificates

When you enroll in a DEXA course, you are granted a limited license to view the educational content.

• Access Duration: The duration of your access to a course (e.g., lifetime access, 6 months, or subscription-based) will be exactly as stated on the specific course sales page at the time of purchase.
• Earning Certificates: Certificates of completion are awarded only to Users who successfully finish all required modules, assignments, and assessments. They represent your successful completion of the curriculum.
• Revocation: DEXA reserves the right to withhold or permanently revoke any certificate if we determine it was obtained fraudulently, through academic dishonesty, or by violating these Terms.
• Not a Professional License: DEXA is an independent educational technology company. While our courses teach valuable skills, our certificates do not constitute formal university degrees, government accreditations, or official professional licensing unless explicitly stated otherwise.

8 AI Features

To enhance your learning journey, DEXA provides AI Features (such as automated grading, study assistants, or code checkers). When using these features, you must understand the following:

• Accuracy Limitations: Artificial Intelligence is an evolving technology. AI outputs may occasionally contain errors, inaccuracies, or out-of-date information.
• Informational Purposes: AI responses are strictly for informational and educational assistance. They should not be relied upon as professional legal, financial, or medical advice.
• User Responsibility: You remain entirely responsible for how you interpret, use, or apply the information provided by our AI Features in your professional or academic life.
• Privacy & Security: Do not submit, paste, or upload confidential, proprietary, or highly sensitive personal information (such as client data or passwords) into our AI chat or submission interfaces.

9 Intellectual Property

We work incredibly hard to create the educational content on our Platform. All materials provided by DEXA are protected by international copyright, trademark, and intellectual property laws.

DEXA Owns: The DEXA name, logos, brand assets, video lessons, course curriculum, text, graphics, website design, software code, assignments, assessments, downloadable resources, and documentation.

By purchasing a course or creating an account, DEXA grants you a limited, non-exclusive, non-transferable, personal educational license to view the Content.

Strict Prohibitions: You may NOT:

• Copy, reproduce, or duplicate our Content.
• Resell, sublicense, or redistribute our courses (e.g., selling access on social media or forums).
• Use screen recording software or video capture tools to record our lectures.
• Reverse engineer, decompile, or disassemble our Platform architecture.
• Scrape, mine, or extract our course material.
• Use DEXA Content to train, fine-tune, or develop any artificial intelligence or machine learning models.
• Use our Content for any commercial reuse or to teach your own competing courses.

Violating our intellectual property rights will result in immediate account termination and potential civil or criminal legal action.

10 User Content

Throughout your learning experience, you may submit assignments, post in community forums, write reviews, or upload project files (“User Content”).

Your Ownership: You retain full ownership of the original User Content you create and upload. DEXA does not claim to own your homework or personal projects.

Our License: By uploading User Content to the Platform, you grant DEXA a worldwide, royalty-free, non-exclusive, limited license to host, store, display, reproduce, and process your content strictly for the purpose of operating the Platform, providing the Services to you, and grading your work.

Right to Remove: DEXA reserves the right, at our sole discretion, to delete, hide, or remove any User Content that we believe violates these Terms, infringes on third-party rights, or is otherwise inappropriate.

11 Community Standards

DEXA is a safe, inclusive, and professional environment designed for learning and networking. When participating in our forums, group chats, or interacting with instructors and peers, you agree to abide by our Community Standards.

You are strictly prohibited from posting content or engaging in behavior that involves:

• Harassment: Bullying, threatening, intimidating, or harassing other students or DEXA staff.
• Hate Speech: Discrimination or slurs based on race, ethnicity, national origin, religion, gender, sexual orientation, age, or disability.
• Spam: Promoting unauthorized products, multi-level marketing schemes, or repeatedly posting irrelevant links.
• Illegal Content: Sharing materials that promote violence, illegal acts, or exploitation.
• Copyright Infringement: Uploading movies, software, or course materials you do not own.
• Malware: Sharing links or files containing viruses, trojans, or malicious code.
• Scams: Attempting to defraud or phish information from other Users.
• Impersonation: Pretending to be an instructor, a DEXA administrator, or another student.
• Academic Dishonesty: Plagiarizing assignments, paying someone else to complete your exams, or sharing quiz answers.
• Disruptive Behavior: Consistently derailing conversations or acting in a manner that negatively impacts the learning experience of others.

12 Acceptable Use

The technical infrastructure of DEXA exists to serve thousands of learners reliably. You agree not to misuse or attack our systems. Specifically, you must not:

• Engage in hacking, unauthorized penetration testing, or attempting to breach our security measures without written, explicit permission from DEXA.
• Use automated scraping tools, spiders, or crawlers to extract data, student lists, or curriculum from the Platform.
• Deploy bots to artificially interact with the platform, inflate video views, or spam the community.
• Attempt to circumvent security features, DRM (Digital Rights Management), or access controls.
• Engage in server abuse, such as launching Denial of Service (DoS) attacks or deliberately overloading our infrastructure.
• Reverse engineer the Platform’s source code or APIs.

13 Third-Party Services

To provide you with a world-class educational experience, DEXA integrates with various third-party services. These may include payment processors (like Paystack or Stripe), cloud hosting providers (like AWS or Google Cloud), analytics engines, user authentication providers, email delivery systems, and AI engine providers.

Please note that these third-party services operate independently of DEXA. They are governed by their own specific terms of service and privacy policies. While we vet our partners carefully, DEXA is not legally responsible for the actions, downtimes, or data handling practices of these independent third-party entities.

14 Availability of Services

We strive to keep the DEXA Platform online and accessible 24 hours a day, 7 days a week. However, the internet is unpredictable.

Services may be unavailable from time to time due to unexpected outages, server failures, or issues with our third-party infrastructure. Additionally, scheduled maintenance may occur periodically to upgrade our systems, patch security vulnerabilities, or roll out new features. We will attempt to notify users of planned maintenance whenever possible.

DEXA does not guarantee uninterrupted, continuous, or error-free access to the Platform. We cannot be held liable for any inconvenience or loss resulting from temporary platform downtime.

15 Disclaimers

Please read this section carefully as it defines the scope of our promises to you.

DEXA is an educational provider. We give you the tools, knowledge, and community to grow. However, we do NOT guarantee any specific outcomes resulting from your use of the Platform.

Specifically, DEXA does NOT guarantee:

• Employment, job placements, or hiring offers.
• Internships or apprenticeships.
• Acquisition of freelance clients or contracts.
• Visas, immigration benefits, or relocation opportunities.
• Promotions, career advancements, or salary increases.
• Business success or financial income.

Your ultimate success depends entirely on your own effort, dedication, portfolio quality, interview performance, and external economic factors.

16 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall DEXA, its founders, directors, employees, instructors, or agents be liable to you or any third party for any:

• Lost profits, lost revenue, or lost financial opportunities.
• Data loss, corruption, or data breaches.
• Business interruption or career setbacks.
• Indirect, incidental, special, consequential, or punitive damages.
• Damages resulting from third-party failures or widespread internet outages.

These limitations apply regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, and even if DEXA has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion of certain damages, DEXA’s liability shall be limited to the total amount you paid to DEXA for the specific Service in the six (6) months preceding the claim.

17 Indemnification

You agree to defend, indemnify, and hold harmless DEXA, its affiliates, instructors, and employees from and against any legal claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in any way connected with:

• Your access to or misuse of the Platform and Services.
• Your violation of any portion of these Terms.
• Your engagement in illegal activity while using our Services.
• Your infringement of any third-party intellectual property or privacy rights.

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate fully with us in asserting any available defenses.

18 Suspension & Termination

We want everyone to have a great learning experience. If you disrupt that experience, we must take action.

DEXA reserves the right, at our sole discretion and without prior notice or liability, to immediately suspend, restrict, or permanently terminate your Account and your access to the Services if we determine that you have:

• Committed financial fraud or initiated unjustified chargebacks.
• Abused the platform, instructors, or community members.
• Violated our Community Standards or Acceptable Use policies.
• Engaged in illegal conduct.
• Created a security risk to the Platform.
• Failed to pay outstanding balances for Services rendered.

If your account is terminated for violating these Terms, you will lose access to all purchased content and you will not be entitled to any refunds.

19 Changes to Services

The technology industry requires constant adaptation. DEXA expressly reserves the right to modify, replace, suspend, or discontinue any aspect of our Services—including specific course offerings, platform features, or third-party integrations—at any time and without prior notice. We will not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

20 Changes to These Terms

As our platform grows and legal requirements change, we may need to update these Terms of Service.

When we make material changes, we will update the “Last Updated” date at the top of this document. In some cases, we may also notify you via email or through an in-platform notification. However, it is your responsibility to review these Terms periodically.

Your continued use of the DEXA Platform following the posting of any revised Terms constitutes your full acceptance of and agreement to the updated Terms.

21 Governing Law

These Terms, and any disputes arising out of or related to your use of the DEXA Platform, shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms shall be resolved exclusively in the courts of competent jurisdiction located within Nigeria. You hereby consent and submit to the personal jurisdiction of such courts.

22 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary. The invalidity of one provision will not affect the validity of the remaining provisions, and the rest of these Terms will remain in full force and effect.

23 Entire Agreement

These Terms of Service, together with our Privacy Policy and our Refund Policy, constitute the final, complete, and exclusive entire agreement between you and DEXA regarding your use of the Platform and Services. They supersede all prior or contemporaneous communications, proposals, or agreements (whether oral, written, or electronic) between you and us concerning the Platform.
